Duh. Just realized that I had previously uploaded this - ConsultingAgreement.doc. No sense having two of them.
Key thing for me is the Ownership clause. If you don't retain the rights to the code you create for others, technically you can never use that code again because you have "sold" it to one client for exclusive use.
